Buyer Terms

These Buyer Terms explain your relationship with the seller when you buy something from an online shop that runs on the Coded commerce platform (the "Platform"), and the limited role that Coded plays in that purchase. Please read them together with the seller's own terms, the seller's product and pricing information, and Coded's Privacy Policy.
The most important point to understand first: when you place an order, your purchase contract is with the merchant who operates the shop — not with Coded. Coded provides the technology that powers the shop and facilitates payment and fulfilment, but Coded does not sell the products to you and is not the seller of record. These Buyer Terms describe how that works and what it means for your rights.
Coded B.V. ("Coded", "we", "us", "our") is a private limited company registered in the Netherlands and a subsidiary of Coded Holding B.V. Coded operates internationally; merchants and their customers may be located anywhere in the world. References in these Buyer Terms to a "merchant" or "seller" mean the business that operates the shop you are buying from. References to "you" or a "buyer" mean the person placing or considering an order. In the Platform's interface a merchant's tenant account is called an "Organization", and the shops, storefronts, and other things a merchant creates are referred to together as "projects".
1. Who you are contracting with
1.1 The merchant is your seller
Each shop on the Platform is operated independently by a merchant. The merchant decides what products to offer, sets prices and availability, writes the product descriptions, accepts or rejects orders, arranges delivery or fulfilment, and handles returns, refunds, warranties, and after-sales support. The sales contract for any product is formed directly between you and that merchant, and is governed by the merchant's own terms and conditions in addition to the mandatory consumer-protection law of your jurisdiction.
1.2 Coded is the platform and intermediary
Coded provides the hosting, checkout, payment facilitation, and fulfilment technology that the merchant uses to run its shop. Coded acts as a technical intermediary and service provider to the merchant. Coded:
- is not a party to the sales contract between you and the merchant;
- does not own, hold title to, inspect, or take possession of the products sold (except where Coded's fulfilment technology routes an order to a fulfilment provider on the merchant's behalf, in which case Coded still does not become the seller);
- does not set the merchant's prices, product claims, or delivery promises; and
- is not responsible for the quality, safety, legality, accuracy of description, or fitness for purpose of any product, which remain the merchant's responsibility.
1.3 Seller identity and traceability
The merchant is responsible for identifying itself accurately in its shop, including its legal name and the contact details required by applicable law. Where the law requires a platform to display or verify certain seller information, Coded supports the merchant in meeting that obligation, but the underlying information is provided by, and is the responsibility of, the merchant. If you cannot find clear seller identity or contact details in a shop, contact us at the address in the Contact section and we will help you locate them.
2. Orders and when a contract is formed
2.1 The ordering process
To place an order you select the products you want, proceed to checkout, provide the delivery and contact details requested, choose a payment method, and confirm the order. Before you confirm, you will be shown the key details of your order, including the products, the total price (including, where applicable, taxes and delivery charges), and the delivery method. You are responsible for checking that these details are correct before you confirm.
2.2 Order confirmation vs. acceptance
Submitting an order is an offer by you to buy the selected products from the merchant on the terms presented. Unless the merchant's own terms or applicable law provide otherwise, the contract is formed when the merchant accepts your order — for example, by sending an order confirmation, by dispatching the products, or by another act of acceptance described in the merchant's terms. An automated acknowledgement that we received your order is not, by itself, acceptance of it. The merchant may decline an order in line with its terms and applicable law (for example, where a product is unavailable, where there was a manifest pricing or description error, or where the order appears fraudulent).
2.3 Errors and corrections
If a product's price or description is obviously wrong (a manifest error), the merchant is not obliged to supply the product at the incorrect price and may cancel the order and refund any amount paid, subject to applicable law. We provide tools that let merchants correct input errors at checkout; the merchant configures how these work.
3. Pricing, taxes, and currency
3.1 Prices
Prices are set by the merchant and shown in the shop. Unless stated otherwise at checkout, the price you see at the point of order is the price that applies to that order. Delivery charges, where they apply, are shown separately before you confirm.
3.2 Taxes
Whether sales tax, value-added tax (VAT/GST), customs duties, or import charges apply, and who is responsible for them, depends on the products, the merchant, and the delivery destination. The merchant is responsible for charging and accounting for any taxes it is required to collect. For cross-border deliveries you may be responsible for import duties or taxes levied by the destination country; where this may apply, the merchant should make that clear before you confirm your order.
3.3 Currency
Products are sold in the currency shown in the shop. If your payment method or bank converts the amount into another currency, the conversion rate and any conversion fees are set by your payment provider or bank, not by Coded or the merchant.
4. Payment
4.1 How payment is processed
Payments on the Platform are processed through third-party payment providers — Stripe and Mollie — using a range of payment methods (which may include cards and local methods such as iDEAL or Bancontact, depending on the shop and your location). When you pay, your payment is handled by the relevant payment provider and settled to the merchant. Coded facilitates this flow through its checkout but does not itself receive your purchase price as the seller.
4.2 No Coded platform fee on your purchase
Coded charges the merchant no platform fee and no transaction fee on payments you make for your purchase. The amount you pay is the merchant's price (plus any taxes and delivery charges the merchant applies). The only payment-related costs are the standard processing costs charged by the payment provider, which are a matter between the merchant and that provider and do not add a Coded surcharge to your order.
4.3 Payment data and security
Coded is designed to minimize the payment data it handles: payment pages are isolated, and full card numbers are handled by the payment provider rather than stored by Coded. The payment provider processes your payment information under its own terms and privacy notice, including for fraud-prevention and regulatory purposes. We describe our data practices, and how data flows to payment providers, in the Privacy Policy.
4.4 Authorization, declines, and chargebacks
Your payment may be subject to authorization checks, fraud screening, or other controls applied by the payment provider, your bank, or the merchant. An order may be cancelled if payment is declined or cannot be completed. If you believe a charge is incorrect or unauthorized, first contact the merchant; you may also have rights to dispute the charge with your bank or card issuer (a "chargeback"). Chargebacks and refunds are ultimately resolved between you, the merchant, and the payment provider.
5. Delivery and fulfilment
5.1 Who delivers
Delivery is arranged by the merchant, in some cases using Coded's built-in fulfilment technology to route the order to a fulfilment or shipping provider. The merchant is responsible for the delivery terms it offers, including delivery areas, methods, costs, and estimated timeframes, and for meeting any delivery promises it makes.
5.2 Delivery times and risk
Delivery timeframes shown at checkout are estimates unless the merchant states they are guaranteed. Where applicable consumer law gives you rights about late or non-delivery (for example, a right to a remedy or to cancel if the merchant fails to deliver within an agreed or reasonable period), those rights apply against the merchant. Unless your local law provides otherwise, risk in the products generally passes to you when you (or someone you nominate) take physical possession of them.
5.3 Problems with delivery
If your order arrives late, incomplete, damaged, or not at all, contact the merchant first, because the delivery obligation is the merchant's. Coded can help you reach the merchant and, where the issue relates to the Platform's technology, will assist the merchant in resolving it. See the Complaints and disputes section.
6. Returns, cancellations, and refunds
6.1 The merchant's policy and your legal rights
Returns, cancellations, exchanges, and refunds are governed by the merchant's return policy and by the mandatory consumer law of your jurisdiction, whichever gives you more protection. Many jurisdictions give consumers buying online a statutory right to cancel or withdraw from a purchase within a set period (for example, a cooling-off/withdrawal period for distance sales), as well as rights where goods are faulty, not as described, or not fit for purpose. These statutory rights apply against the merchant and cannot be reduced by these Buyer Terms or by the merchant's policy.
6.2 Exercising a return or cancellation
To return a product or cancel an order, follow the merchant's stated process and any in-shop tools provided. Refunds are issued by the merchant, normally via the original payment method, in line with the merchant's policy and applicable law. Because Coded charges no platform fee on your purchase, a refund of your purchase price is a matter between you and the merchant and is not reduced by any Coded fee.
6.3 Reference and assistance
This section is a high-level reference, not a substitute for the merchant's full return policy or for legal advice about your specific rights. Where a shop publishes a separate, more detailed returns or refunds policy, that policy and your statutory rights govern the details. If you cannot locate the merchant's policy or cannot reach the merchant, contact us and we will assist.
7. Product information, claims, and conformity
The merchant is responsible for ensuring that product descriptions, images, pricing, claims, ingredient or safety information, and any required regulatory labelling are accurate and lawful, and that products conform to what was advertised and to applicable law. Coded does not independently verify product listings. Where a product does not conform — for example, it is defective, differs from its description, or is unsafe — your remedies are against the merchant and are determined by the merchant's terms together with the mandatory consumer-protection and product-safety law of your jurisdiction.
8. Complaints and disputes
8.1 Contact the merchant first
Because your contract is with the merchant, most issues — about products, orders, delivery, returns, refunds, or after-sales support — should be raised with the merchant first, using the contact details shown in the shop. Merchants are expected to handle complaints fairly and within any timeframe required by applicable law.
8.2 How Coded can help
If you cannot reach the merchant, are not getting a response, or believe a shop on the Platform is acting unlawfully or fraudulently, you can contact Coded. While Coded is not a party to your purchase and cannot decide the merits of a dispute between you and a merchant, we can:
- help you locate the merchant's identity and contact details;
- pass a complaint to the merchant and, where appropriate, follow up;
- act where a shop breaches Coded's own rules (for example, by removing or restricting a shop that is misusing the Platform); and
- where the issue relates to the Platform's technology (such as checkout or payment-flow errors), investigate and address it.
8.3 Independent dispute resolution and authorities
Nothing in these Buyer Terms limits any right you have to refer a dispute to a consumer ombudsman, alternative or online dispute-resolution body, regulator, or court available to you under the law of your jurisdiction. Where the law requires that a particular dispute-resolution channel be made available to you, that channel remains available regardless of these Buyer Terms.
9. Coded's limited role and liability
9.1 Scope of Coded's responsibility
Coded is responsible for operating the Platform with reasonable skill and care. Coded is not responsible for the products, the sales contract, the merchant's conduct, or any loss arising from the merchant's products, descriptions, delivery, returns handling, or after-sales support, which are the merchant's responsibility. This allocation reflects Coded's role as an intermediary, not a seller, and does not affect any liability that cannot be excluded or limited under applicable law.
9.2 No exclusion of non-waivable rights
Nothing in these Buyer Terms excludes or limits any right or remedy that mandatory law in your jurisdiction gives you and that cannot lawfully be excluded or limited — including statutory consumer guarantees, withdrawal/cancellation rights, and rights in respect of faulty or misdescribed goods. To the extent any provision of these Buyer Terms conflicts with such a non-waivable right, that right prevails.
9.3 Platform availability
Coded aims to keep the Platform available and secure but does not guarantee that shops will be available without interruption. Where a technical issue on the Platform prevents an order from being placed, paid for, or fulfilled, contact us and we will work to resolve it.
10. Privacy
When you buy from a shop, two privacy roles are in play. The merchant decides how it uses the personal data you give it for its own purposes (for example, fulfilling your order and providing support) and is the controller of that data for those purposes; the merchant's own privacy notice governs that use. Coded processes personal data to operate the Platform — partly on the merchant's behalf as a processor, and partly as a controller for the limited data Coded needs to run its own business. Coded follows a privacy-by-design approach, uses cookieless analytics, and does not sell personal data and does not share personal data for cross-context behavioural advertising. The Platform's primary application data is hosted in the European Union (Frankfurt, Germany); we treat EU hosting as a feature available to users worldwide, not a restriction on who we serve. Your privacy rights — including any rights to access, correct, delete, or object to the use of your personal data — are described, for all jurisdictions, in the Privacy Policy. Payment providers (Stripe and Mollie) process your payment data under their own terms and privacy notices.
11. Your responsibilities as a buyer
When you place an order you confirm that the information you provide (including delivery and contact details) is accurate, that you are legally able to enter into the purchase, and that you will use any purchased products lawfully. You are responsible for any age, licensing, or import restrictions that apply to products you buy and for keeping access to any account you create on a shop secure.
12. Changes to these Buyer Terms
Coded may update these Buyer Terms from time to time, for example to reflect changes to the Platform, to our payment or fulfilment providers, or to applicable law. The version in force at the time you place an order applies to that order. We will post the updated version with a revised "Last updated" date. Changes do not reduce any non-waivable rights you have under applicable law, and they do not change the terms of a contract you have already formed with a merchant.
13. Governing law and jurisdiction
These Buyer Terms, and Coded's role as intermediary in your purchase, are governed by the laws of the Netherlands, and any dispute relating to Coded's role is subject to the exclusive jurisdiction of the courts of Amsterdam, the Netherlands — except that the mandatory consumer-protection and data-protection laws of the country or jurisdiction in which you are habitually resident may also apply to you, and you may also be entitled to bring proceedings in, or rely on the protections and courts of, your home jurisdiction where mandatory law so provides. The sales contract itself is between you and the merchant and may be governed by the merchant's own choice of law and jurisdiction, again subject to the mandatory consumer law that protects you. This provision does not deprive you of the protection of any rule that cannot be derogated from by agreement under the law that would apply in the absence of these Buyer Terms.
