Company Details
Last updated: [TBD] · This is a working draft pending legal review.
This page provides the statutory disclosures and company-identification details for the operator of the Coded commerce platform (the "Platform"). It is published to satisfy the information requirements that apply to commercial online service providers, including the obligation to make certain provider information easily, directly, and permanently accessible to recipients of the service (Article 5 of Directive 2000/31/EC on electronic commerce, as implemented in Dutch law, and the corresponding business-correspondence and trade-register disclosure rules of the Netherlands).
This page is a factual disclosure, not a contract. The terms governing use of the Platform are set out in our Terms of Service and the related agreements referenced there. The handling of personal data is described in our Privacy Policy.

Hosting and data location
The Platform's primary application data is hosted in the European Union (Frankfurt, Germany). Coded treats EU hosting as a feature of the Platform rather than a limitation on who we serve: Coded operates internationally and merchants, their Organizations and projects, and their customers may be located anywhere in the world while core Platform records are kept in the EU.
Where personal data is involved, the locations of our hosting and the third-party providers we engage, together with the safeguards that apply to any international transfers, are described in our Privacy Policy and our Subprocessors list.
Nature of the service
Coded operates a commerce platform on which merchants run branded online shops ("projects") under their Organization, using a curated product catalog, built-in payments, and built-in fulfilment. Payment processing is provided through our payment partners Stripe and Mollie. Coded charges no platform fee on merchant sales; merchants pay only the pass-through processing costs charged by the applicable payment provider.
Coded is a private company and is not a public authority. The Platform is a commercial service governed by the contractual terms referenced on this page.
Supervisory and registration context
Coded B.V. is subject to the laws of the Netherlands and to the supervisory authorities competent for its activities, including:
- The Dutch Chamber of Commerce (Kamer van Koophandel, KvK), which maintains the Netherlands Business Register in which Coded B.V. is recorded.
- The Dutch Tax and Customs Administration (Belastingdienst), for tax and VAT matters.
- The Dutch Data Protection Authority (Autoriteit Persoonsgegevens), as the supervisory authority for the processing of personal data under the General Data Protection Regulation (GDPR) in the Netherlands. Details of how we handle personal data, and how to exercise data-subject rights or raise a complaint, are set out in our Privacy Policy; data-protection enquiries can be sent to privacy@coded.eu.
Where a payment, financial-services, or sector-specific authority becomes relevant to a particular Platform feature, the applicable supervisory context will be identified in the corresponding service terms (for example, the Payment Terms). This page does not assert any licence, authorisation, registration, or certification that Coded does not in fact hold.
Governing law and jurisdiction
These company details and the relationship between Coded B.V. and users of the Platform are governed by the laws of the Netherlands. The courts of Amsterdam, the Netherlands, have jurisdiction over disputes, without prejudice to any mandatory provision of the law of a user's country of habitual residence that cannot be derogated from by agreement and that may also apply. The governing law and dispute-resolution terms that apply to your specific use of the Platform are set out in the relevant agreement (for example, the Terms of Service or Merchant Agreement).
Out-of-court dispute resolution
Coded is not obliged to and does not commit to participate in dispute-resolution proceedings before a consumer arbitration board, except where required by mandatory law. Where alternative dispute resolution (ADR) applies, the relevant body and process are identified in the Complaints Procedure. Consumer-facing dispute, return, and refund processes for purchases made through a merchant's shop are described in the Buyer Terms and Refund Policy.
<!-- NOTE: The EU ODR platform (Reg. 524/2013) was repealed effective 20 July 2025; do not link it. Use ADR signposting instead. Confirm the applicable ADR body per market with counsel. -->Reporting illegal content and complaints
To report illegal content, abuse, or other complaints relating to the Platform or to a merchant's shop, contact report@coded.co. We maintain a notice-and-action process for handling such reports; the applicable procedure and timelines are described in our Acceptable Use Policy and related policies.

<!-- OPEN ITEMS FOR COUNSEL: 1. Confirm the exact statutory seat (statutaire zetel) vs. registered office address — under Dutch law these can differ; verify whether De Taling 15, 2761 SL Zevenhuizen, The Netherlands should be split into two fields and whether the seat is a municipality (gemeente) rather than a street address. 2. Verify KvK number, VAT/BTW number, and that the legal name "Coded B.V." matches the Trade Register entry exactly (including capitalisation and the "B.V." suffix format). 3. Confirm the authorised representation rules from the articles of association: is Ibrahim Mohamed solely authorised, or is joint signing authority required? Reflect this precisely in the "Authorised representation" section. 4. Confirm whether any additional statutory disclosures are required under the implementation of the e-Commerce Directive in other markets where Coded actively offers the Platform (e.g. German Impressum / TMG §5, requiring additional content), and whether market-specific imprint variants are needed. 5. Verify the ODR-platform reference is still legally required/accurate at publication — the EU ODR platform was scheduled for changes; confirm current status and whether a consumer-arbitration statement is needed. 6. Confirm the list of named supervisory authorities is complete and correctly scoped for V1, and that no licence/registration/certification is implied that Coded does not hold. 7. Confirm internal /legal/* link slugs resolve to published pages before go-live. -->
